In Malaysia, registering a sole proprietorship or establishing a public limited company is open only to residents; foreign investors are permitted to register private limited companies (Sendirian Berhad / Sdn Bhd).

Company structure

The structure of a private limited company must include:

  • at least one resident director;
  • at least one local secretary (who must be a citizen or a permanent resident of Malaysia);
  • at least one shareholder.

The minimum paid-up share capital of the company is 1 Malaysian Ringgit (MYR).

Registered office

Every private limited company must have a registered office in Malaysia; a local business address must also be provided.

The registered office is used for the company’s incorporation and administration – it is an address where local authorities will send correspondence. It differs from a business address which is where the company actually conducts its operations in Malaysia.

Company incorporation procedure

The incorporation of a private limited company (Sdn Bhd) in Malaysia includes the following steps:

1) It is necessary to choose:

  • company name to be checked for its availability; the meaning of the chosen name must also be provided;
  • company structure (director, shareholders, secretary);
  • share capital and distribution of shares between the shareholders;
  • company’s principal business activities;
  • business address.

2) Payment of compliance fee and fees for company incorporation services.

3) It is necessary to provide documents for directors, shareholders, and beneficial owners.

The list of documents includes:

  • proof of identity (passport / ID);
  • proof of residential address (utility bill).

If the company structure includes a legal entity, you will need to provide additional information regarding that entity, including corporate documents and a board resolution approving the investment and appointing an authorized representative.

4) Preparation and signing of documents for company incorporation.

5) Filing with the registration authority – the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia / SSM).

The Companies Commission of Malaysia issues a digital certificate of incorporation.

Company registration in Malaysia takes approximately 2 weeks once all necessary documents and information are provided.

Administration of the company

After company registration (starting from the second year of operation), an annual renewal fee is payable, covering:

  • secretarial services and provision of a registered office address,
  • preparation and filing of the annual return* with the Companies Commission of Malaysia (including payment of the applicable fee),
  • provision of a virtual office address and local nominee director (if required).

*Companies are required to file an annual return with the SSM for each calendar year. It must be filed within 30 days of the anniversary of the company’s incorporation in Malaysia.

Malaysian companies must comply with certain requirements regarding financial statements as imposed by the Companies Act and the Income Tax Act. For example, a company must select a financial year that does not exceed 18 months of its incorporation date.

A Malaysian company is also required to prepare annual financial statements that must be audited by authorized Malaysian auditors. These audited statements are prepared in time for the Annual General Meeting (AGM) so that shareholders may approve them. Then the audited financial statements are filed with the Companies Commission of Malaysia alongside the company’s annual return (the preparation of audited financial statements is a separate cost).

- issue of a power of attorney to a new attorney,
- change of director / shareholder / beneficial owner, except the change to a nominee director / shareholder,

[2] A nominee director is provided solely to meet the requirements related to company registration and administration; the appointed nominee director is not involved in the company’s day-to-day operations or management. When using local nominee director services, a one-time refundable security deposit of MYR 10 000 is taken (this deposit is refunded in full upon termination of nominee services). The provision of nominee director services also requires an additional due diligence check.
