Company incorporation

Incorporation of a Seychelles company takes approximately 2 to 5 working days once all required documents and information are received and the necessary checks (compliance check and the proposed company name check) are made.

To register a Seychelles company, the following is required:

  • company name: several names to be checked for availability (permitted endings: Limited, Ltd., Corporation, Corp., Incorporated, Inc.);

the check of the name’s availability for registration takes 24 hours from receipt of the request*;

  • originals or notarized copies of the passport and proof of address of directors / shareholders / beneficial owners / attorneys (when using nominees, it is necessary to provide documents only for beneficial owners and attorneys);
  • detailed description of the company’s business;
  • geography of business;
  • occupation of directors / shareholders / beneficial owners / attorneys;
  • origin of funds for business;
  • identity verification during a visit to our company’s office or via a video call.

The registration of a Seychelles company includes the following steps:

1) It is necessary to determine:

  • company name, to be necessarily checked for availability;
  • company structure (director, shareholder, beneficial owner, attorney);
  • amount of share capital;
  • business activity.

2) Payment of fees.

3) It is necessary to provide the following documents:

  • copies of passports of the director, shareholder (unless a nominee is used), beneficial owner, and attorney (if appointed); as proof of residential address, a utility bill can be provided, for example;
  • if the company structure includes a legal entity (e.g. a corporate shareholder), a full set of constitutive documents of this entity will be required, including a certificate of good standing (or its equivalent) for companies older than 1 year; the documents provided must disclose the ownership structure down to the ultimate beneficial owner.

4) Check of the company name in the official register (a name that has successfully passed the check can be reserved).

5) Preparation and submission of documents for registration.

After the registration number has been assigned, documents for issue of shares are made and the company’s seal is ordered. The KYC forms of the company’s registered agent are also filled in and signed.

Upon incorporation, a Seychelles company is normally provided with the following documents:

  • Certificate of Incorporation;
  • Memorandum and Articles of Association;
  • Resolution appointing the first director;
  • Register of directors;
  • Director’s resolution to issue shares;
  • Share certificate(s);
  • Register of shareholders.

An apostilled bound set of copies of corporate documents is also prepared.

When using nominees and issuing a power(s) of attorney, more documents are added accordingly.

Administration of the company

Annual renewal and compliance review of the company

The company is renewed annually starting from the second year of its existence. The renewal includes payment of a government fee and registered agent fees (including provision of a registered office), and a compliance review. The fees of nominee directors and shareholders (if used) are also paid annually.

Taxes

Company income is subject to tax in Seychelles if it is received from Seychelles sources (territorial taxation).

Financial statements

Every company is required to retain accounting records, contracts, invoices, and other documentation for 7 years from the date the document is created and inform the registered agent about the record keeping address and the details of a person responsible for keeping records (the company must provide this documentation upon request from government authorities).

Furthermore, all Seychelles companies, except non-large holding companies, are required to prepare simplified financial statements (financial summary) based on their accounting records.
