Redomiciliation (continuation) of a company means changing its country of incorporation, while keeping all existing business relations. For a company to continue in another jurisdiction, redomiciliation must be allowed by the national legislation of the country where the company is incorporated and its Memorandum and Articles of Association (by no means all countries permit redomiciliation).

The following documents will be required for redomiciliation of a company to the BVI

  • Resolution approving the redomiciliation;
  • Apostilled Certificate of Good Standing;
  • Legal Opinion confirming the status of the company (that the company is not undergoing liquidation or bankruptcy proceedings and that the law and the company’s Articles of Association permit the redomiciliation);
  • Apostilled Memorandum & Articles of Association;
  • Apostilled Certificate of Incorporation.

Step-by-step guide to redomiciliation of a Belize company to the BVI

  1. Check the current company name with the BVI Registrar of Corporate Affairs for availability. The name cannot coincide with the name of any existing company. If there is a match, the current company name must be changed.
  2. Prepare in Belize a set of company documents required for the change of jurisdiction.
  3. Prepare a set of documents in the BVI.
  4. File copies of documents certified by the registered agent with the Belize Registrar in order to complete the redomiciliation (“discontinuation”) procedure.
  5. Obtain from the Belize Registrar a Certificate of Discontinuance that confirms the striking-off of the company from the register in Belize, so that the company may continue in another register.
  6. Obtain a Certificate of Continuation at the end of redomiciliation. From that moment the company shall be deemed re-registered in the BVI.
The overall time to redomicile a company to the BVI is two months on average.
