Structure and registration

An LLC has ONLY 1 director and at least 1 founder.

The Director and Founder can be either an individual or a legal entity.

A foreign Director of the company may require a work permit or a Temporary / Permanent Resident Card (depending on whether the company is registered with the foreign capital, country of citizenship of company’s founder and director).

To facilitate the process, the local company registration agent recommends having a link to the country of registration and thus appointing a local resident as director to fully meet the expectations of local banks.

After the successful opening of an account, company members can be changed.

Time frame

Registration of a company takes 10 - 14 working days.

Basic information required for registration of a new or purchase of a ready-made company

for registration of a new company: several names to be checked for availability. The name check takes 24 hours from the receipt of the request;

notarized copies of ID and documents proving resident address of directors / founders;

notarized power of attorney for a representative in Armenia enabling him to freely interact with government authorities and the bank;

notarized resolution to establish an LLC and appoint a director;

signed Articles of the company (the document will be provided after the necessary changes are agreed);
The above documents will need to be sent to Yerevan in original for further translation into Armenian and notarization.
The cost of translation depends on the volume of documents and will be calculated once the documents are available.

occupation of directors / shareholders / attorneys / beneficial owners;

source of funds for doing business;

identity verification can be performed during a visit to our company’s office or via a video call.
Depending on the country of citizenship of prospective Director and Shareholder, a different list of documents and information will be discussed separately with your GSL consultant.

Taxes and accounts

The Republic of Armenia offers tax benefits for local businesses. Companies can choose their tax regime within 20 days of the incorporation.

Micro businesses – meaning companies with a total profit of up to USD 50 000 per year – are exempt from corporate income tax and VAT registration.

The corporate income tax rate under the simplified tax regime is 5% of total turnover during one financial year, provided that the company’s annual sales do not exceed approximately USD 240 000. Such companies are exempt from VAT registration.

Depending on the company’s business activity, the turnover tax under the simplified regime may have different key rates: 1.5%, 3.5%, 5%, 6%, 10%, 20%, and 25%. To apply the simplified regime, you must meet certain criteria.
We recommend conducting a preliminary analysis and seeking advice from a tax specialist before choosing the tax regime.

Companies that do not comply with these restrictions are subject to the standard corporate income tax rate of 18%. Accounts are submitted quarterly.

VAT

The standard VAT rate is 20%.

VAT returns are submitted monthly.

It is payable in the cases of incorporation of a company, renewal of a company, liquidation of a company, transfer out of a company, issue of a power of attorney to a new attorney, change of director/shareholder/beneficial owner, except the change to a nominee director / shareholder, and signing of documents.
