Establishment of a charitable foundation in Switzerland. Service offer

Charitable foundation in Switzerland is a quite profitable structure in terms of taxation and asset protection; creation of such a structure, however, requires much more effort and time than incorporation of a usual company. The peculiarity of establishment of a foundation is that all actions must be approved by the special Supervisory Authority.

Procedure of incorporation

  1. Corporate documents (Foundation Charter (Constitution)) are prepared.
  2. Drafts of corporate documents are sent to the Supervisory Authority (Federal Supervisory Board for Foundations). The approval may take over a month; and only after it has been given one may proceed to notarization.
  3. Incorporation requires an authorized capital of at least CHF 50 000. For the purpose of contribution of the authorized capital, a blocked bank account is opened and a bank reference is obtained.
  4. The foundation also needs services of certified auditors. Confirmation that the auditors are ready to start serving the foundation that is being established must be obtained before the documents are handed over to the notary. So, before visiting the notary, one must obtain confirmations from the Supervisory Authority, bank and auditors.
  5. After the drafts of corporate documents have been approved by the Supervisory Authority, the authorized capital has been deposited in the blocked bank account and the auditors’ confirmation has been obtained, a visit to the notary can be organized where attendance of only the Swiss director is enough. The board of a foundation, normally, must consist of three people, one of whom must be a resident of Switzerland.
  6. Documents are sent to the Commercial Registry; and after their bill has been paid, the foundation is entered in the Commercial Register.
  7. Documents are also sent to the Supervisory Authority; and after their bill has been paid, a record is made in the register about the fact that the foundation is under the Supervisory Authority’s control.

After the incorporation, an account is opened and the authorized capital is transferred to it from the blocked account.
