The procedure of redomiciliation of a company consists in a change of the country of incorporation while retaining all existing business relations. The national legislation of the country where the company is incorporated as well as its Memorandum and Articles of Association must permit the transfer of the company to another country (not nearly all countries allow redomiciliation).

In order to redomicile a foreign company to the BVI, the following needs to be provided:

  • Redomiciliation resolution;
  • Certificate of Good Standing with apostille;
  • Report confirming the company’s status (that the company is not liquidated, not in bankruptcy process, that the law and articles of association permit its redomiciliation);
  • Memorandum and Articles of Association with apostille;
  • Certificate of Incorporation with apostille.

Procedure of redomiciliation of a company from Dominica to the BVI

1. Check of the company’s current name with the Registrar of Companies in the BVI for uniqueness. The name may not be the same as that of a company in existence in the BVI. If it is the same, the name of the company will have to be changed.

2. Preparation in Dominica of a set of documents of the company required to change jurisdiction.

3. Preparation of a set of documents in the BVI.

4. To finalize the procedure of redomiciliation (“discontinuation”), the following must be filed with the registration authority of Dominica:

  • certified copy of the Certificate of Continuation;
  • certified copy of the Memorandum and Articles of Association;
  • certified copy of director’s resolution to redomicile the company.

5. Obtaining from the Registrar of Companies of Dominica the Certificate of Discontinuance, which confirms that the company has been struck off from the Register in Dominica so that the company can continue in another register.

6. Upon completion of redomiciliation to the BVI, a Certificate of Continuation will be obtained. Since that time the company is considered to continue by being reincorporated in the BVI.

On average, the complete redomiciliation of a company to the BVI takes two months.
