The company registration procedure requires taking the following actions:
Information/documents to be provided by the founder(s) for registration:
Upon successful completion of the registration, the company is required to open a bank account at the bank of its choice and provide all relevant documents regarding the shareholders and the entire ownership structure.
The company must provide extracts from the register, in original and with an apostille, for all the companies in the ownership structure down to the ultimate beneficial owner(s).
Serbian law sets a 15-day deadline for registering new companies with the tax office and submitting all necessary documentation.
Regarding taxation, the standard corporate income tax rate is 15%. Serbia has a 20% withholding tax, but this tax rate may be reduced depending on the type of income and the country to which the payment is made.
Regardless of where the employee actually works (remotely or in a Serbian office), such an employee will need a work permit. One cannot be employed by and work in a Serbian company without a properly obtained work permit.
Employees’ salaries must be paid in the local currency (Serbian dinar – RSD) from the company’s account at a Serbian bank to the employee’s account at a Serbian bank.
It is possible to obtain a work permit remotely, but employees will need to travel to Serbia to obtain a Serbian temporary residence permit.
