Description of stages in selecting a jurisdiction, incorporating a company and applying for a licence (if necessary)

Stage I – identifying a list of possible jurisdictions and licences

  1. Collecting information and putting together terms of reference for selecting a jurisdiction/structure and determining whether or not any kind of crypto licence is required.
  2. Selecting several (up to 3) options for the jurisdiction. Describing whether or not a crypto licence is required in the company’s jurisdiction of incorporation.
  3. Preparing a detailed memo analyzing the pros and cons of each proposed jurisdiction and describing the requirements, procedure and approximate timeframe for obtaining a licence in the company’s jurisdiction of incorporation.
  4. Determining whether or not crypto licences are required in countries and regions where the company will have clients and/or partners (up to 3 main countries of operation).

The fee for this stage starts at USD 600 (a final fee will be quoted by the consultant after making the terms of reference).

If you require an assessment of an existing structuring project, the legal advice will be provided at the rate of USD 300 / hour. The work does NOT include an analysis of the tax burden of the project.

Stage II – tax advice

If the implementation of the project also requires an assessment of the tax burden, we recommend that, before proceeding with incorporation, you have a meeting with our tax specialist (in the office / via Zoom/Skype/Teams / by phone – whichever is more convenient) regarding the structure of the future company’s operations and possible risks.

The fee is charged on a time-spent basis at the rate of USD 400 / hour.

This fee can later be set off against the cost of company incorporation.

Stage III – company incorporation

  1. You choose the jurisdiction and crypto licence that suits you best and send us all the necessary documents for company incorporation and compliance check.
  2. You pay a company incorporation invoice.
  3. We prepare all necessary documents and company incorporation forms and have them signed by you. Incorporation of the company.
  4. Upon completion of the incorporation, you receive original corporate documents of the company. The composition and format of the documents (language, notarization/apostille/legalization) varies depending on the jurisdiction.

The fee depends on the specific jurisdiction you choose.

If you proceed with company incorporation through us within 1 month of sending of the offer, we are ready to provide a 10% discount.

Stage IV – applying for a licence in the company’s jurisdiction of incorporation

If the jurisdiction you have chosen requires the company to hold a local crypto licence, the procedure will be as follows:

  1. You send us all the documents and information required to apply for a licence.
  2. You pay a licence application invoice.
  3. We prepare all necessary forms and documents for the licence application and have them signed by you. We liaise with the regulator regarding the company’s crypto licence application.
  4. Upon completion of the licence application process, we give you the company’s licence details.

The fee depends on the specific jurisdiction and licence you choose.

Stage V – applying for a licence in the company’s jurisdictions of operation

If the jurisdictions where your crypto company operates require a foreign company to hold a licence to be able to conduct crypto business, the procedure will be as follows:

  1. We research the requirements, procedure, timeframe and cost of a licence application in a company’s particular jurisdiction of operation.
  2. You send us all the documents and information required to apply for a licence.
  3. You pay a licence application invoice.
  4. We prepare all necessary forms and documents for the licence application and have them signed by you. We liaise with the regulator regarding the company’s crypto licence application.
  5. Upon completion of the licence application process, we give you the company’s licence details.

The fee depends on the specific jurisdiction and licence you choose.
