Kazakhstan belongs to the Romano-Germanic legal family. This presupposes the existence of written law: universally binding legal rules formulated in the legislative acts of a state.
The main sources of law in Kazakhstan are the following enactments:
The legislation of Kazakhstan provides for the following forms of doing business:
The LLP is analogous to the Russian LLC; it is the most common form of doing business in Kazakhstan.
To register a limited liability company in Kazakhstan, it is necessary:
1. When registering a company, one must submit several company names to be checked.
The check for availability of proposed names takes 24 hours from receipt of the request.
2. Submitting an application for registration of a company in Kazakhstan.
The registration authority of the Republic of Kazakhstan has made all company registration procedures electronic, so all individuals who are members in companies are required to obtain an IIN (individual identification number) and an EDS (electronic digital signature) in order to go through the first stage of logging into the system and sign the application.
3. It is also necessary to provide the following documents:
4. Assessment of the application for registration.
5. Obtaining a Certificate of Incorporation.
Incorporation of a company takes 10 business days.
There are restrictions on types of business: a company is prohibited from engaging in consulting, or providing agency services.
A registered office in the country is mandatory.
There are no statutory requirements for a company to have a seal. LLPs can operate without one.
Redomiciliation is not permitted by the laws of Kazakhstan.
An LLP has at least 1 director.
A director can be either an individual or a legal entity.
An LLP has at least 1 founder.
A founder can be either an individual or a legal entity.
Founders that are legal entities are subject to restrictions on the size of their shareholding – no more than 25%.
If all the members and employees of the company are citizens of the Eurasian Economic Community countries (Armenia, Belarus, Kyrgyzstan, Russia), a work permit is not required.
Kazakhstan is currently considering draft legislation that would require legal entities to disclose and keep records of their beneficial owners.
The minimum authorized capital of an LLP is currently equal to 100 MCIs (Monthly Calculated Index), which now makes KZT 306,300 (2022).
By the time of registration, 25% of the authorized capital must be paid up.
